Our M&A and Private Equity Practice is a global team of approximately 500 colleagues, consisting of qualified corporate lawyers, tax and insurance specialists, actuaries, benefits specialists, and dedicated claims advisors. Our dedicated private equity team assesses, quantifies, and optimizes the costs of risk (including human capital risks) helping to create sustainable value and a more positive outcome across transactions, investments, and fund activities.

Our team taps into the WTW network of 45,000 colleagues across 140 countries, to identify and bring the most relevant resources to bear for the industry and geography of the deal or portfolio company.

Transactions

M&A is in our DNA. We work with our private equity clients and their advisors throughout the cycle of a deal, whether that is an acquisition, divestment, or a potential public offering of securities.

Our diligence advisory services offer expert industry-centric forensic advice on insurance and risk management using WTW’s proprietary analytical tools (wherever data and time permit). Our employee benefits diligence advisory services consider a broad range of human capital costs and exposures throughout a transaction (costs identified and quantified) to help with

  • Planning transition
  • New benefits and retirement programs
  • Executive compensation packages
  • Severance support packages

We advise on and place transactional risk insurance including.

  • Warranty and indemnity insurance (representations and warranties insurance in the U.S.)
  • Tax and contingency risks insurance, which can be part of an M&A transaction to help gain an advantage or reduce residual risk.

Other insurance lines commonly linked to transactions include directors’ and officers’,’ cyber, environmental, title insurance and key p insurance.

When you are looking to exit, we can help with planning human capital risks, vendors due diligence, sell-side warranty and indemnities insurance, contingent risks and directors’ and officers’ run-off or public offering of securities insurance (IPO insurance).

Investments

Our global team of private equity relationship directors coordinate closely with clients and our local client service teams dealing with portfolio companies to achieve the best possible outcome.

We operate a stewardship model for consistency and leverage of insurance across a portfolio of investments with regular reporting of progress to a joint plan.

Stewardship Model

We advise and place private equity portfolio insurance programs for many of our clients with a particular focus on directors’ and officers’ and cyber, but also extending to property and business interruption, environmental and general liability programs.

Our Health Wealth and Career private equity specialists design senior executive compensation packages and employee benefits programs that are consistent across portfolio companies in terms of goals and outcomes.

Our team fully understands how private equity works, bringing you industry knowledge, propriety analytics and the breadth of WTW’s full resources.

Fund/Financial sponsor activities

We provide investment management insurances comprising fund level directors’ and officer’s, professional indemnity, employment practices and crime insurance to afford protection for investment, fundraising and governance activities. Additionally, we advise many of our private equity clients on cyber and reputational risks at fund level.

Our private equity team helps to improve the understanding of broader environmental, social and governance (ESG) solutions, to consider these through a “PE lens” aligned to ESG professionals at our clients, with consideration of climate (physical, transition and liability) and emerging social and governance risks.

Our team also designs executive reward programs that support hiring and retaining key talent at the sponsor level.
